Introduction
These Terms and Conditions govern the use, access, and licensing of the Biashara Yangu POS System (“Software”, “System”, “POS”), provided by Biashara Yangu (“Company”, “we”, “us”).
By purchasing, installing, or using this system, the client (“User”, “Business Owner”, “you”) agrees to be bound by these terms.
Description of Service
Biashara Yangu POS is a business management system designed to help businesses manage:
- Sales and invoicing
- Inventory/stock management
- Customer records
- Reports and analytics
- Accounting summaries
- Tax compliance features (where applicable)
The system may be delivered as:
- Web application
- Desktop software
- Cloud-based system
- Mobile application
License Usage
- The system is licensed, not sold.
- The user is granted a non-exclusive, non-transferable license to use the software.
- The software is strictly for internal business operations only.
- The user is NOT allowed to:
- Copy or resell the system
- Modify or reverse engineer the software
- Distribute access to unauthorized users
Payment Terms
- Payment must be made as agreed (one-time purchase or subscription).
- Access may be restricted if payments are not completed.
- Prices may change with prior notice.
- Refunds are not guaranteed once the system is delivered and activated.
Setup & Installation
- Setup assistance may be provided depending on the package.
- The client must provide accurate business data (products, pricing, stock, etc.).
- Any custom modifications may attract additional charges.
User Responsibilities
The user agrees to:
- Keep login credentials secure
- Prevent unauthorized access
- Ensure accurate data entry
- Use the system legally and ethically
Data Ownership
- The client owns all business data entered into the system.
- The Company does NOT claim ownership of customer or sales data.
- The Company may only access data for:
- Technical support
- Maintenance
- System troubleshooting (when necessary)
Support & Maintenance
- Support is provided via agreed communication channels (phone/email/WhatsApp).
- Support includes bug fixes and system issues only.
- Training, customization, or upgrades may be charged separately.
System Availability
- We strive to ensure continuous system availability.
- However, we do not guarantee 100% uptime.
- Downtime may occur due to:
- Maintenance
- Server issues
- Internet disruptions
- Third-party service failures
Tax Compliance
Where applicable, the system may support tax features including VAT.
The user is responsible for compliance with:
- Kenya Revenue Authority regulations
- All applicable business laws in Kenya
Prohibited Use
Users must NOT use the system for:
- Illegal activities
- Fraud or financial manipulation
- Unauthorized system access
- Copying or reselling the software
- Hacking or reverse engineering
Updates & Changes
- The Company may release updates or improvements at any time.
- Updates may include new features, bug fixes, or security upgrades.
- Some major updates may require additional charges.
Termination
The Company reserves the right to terminate access if:
- Terms are violated
- Payment is not completed
- The system is misused
Upon termination:
- Access will be revoked immediately
- No refund will be issued for remaining usage period
Limitation of Liability
The Company is NOT responsible for:
- Business losses or missed profits
- Data loss caused by user actions
- Internet or system downtime
- Incorrect data entry by users
Confidentiality
Both parties agree to keep all sensitive business and system information confidential.
Governing Law
This agreement is governed by the laws of Kenya.
Any disputes shall be resolved under Kenyan legal jurisdiction.
Acceptance of Terms
By using the Biashara Yangu POS System, the user confirms they have read, understood, and agreed to these Terms & Conditions.
